1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the OaklyCare website, mobile application, and all related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms, which constitute a legally binding agreement between you and OaklyCare™ Health.

2. Eligibility and Registration

  • You must be at least 18 years old and capable of entering into a binding contract to use the Services.
  • You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3. The OaklyCare™ Service

  • Nature of Service: OaklyCare is a technology platform that connects users seeking home healthcare services with independent, verified, and licensed healthcare professionals ("Care Professionals").
  • Independent Contractors: You acknowledge that Care Professionals are independent contractors and not employees, partners, or agents of OaklyCare™. OaklyCare™ is not responsible for the acts, omissions, or conduct of any Care Professional.
  • Scope of Care: The Services are for non-emergency home healthcare and monitoring. In the event of a medical emergency, you must immediately contact the appropriate emergency services in Nigeria.
  • Technology Features: You agree to the use of our technology, including AI-powered tools, remote monitoring, and the Oakly FallGuard™ predictor, as part of the service delivery.

4. User Obligations

  • Lawful Use: You agree to use the Services only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services.
  • Payment: You agree to pay all fees and charges associated with your bookings and subscriptions in a timely manner. All payments are processed securely via the OaklyCare app.
  • Conduct: You agree to treat Care Professionals with respect and provide a safe and appropriate environment for the provision of services.

5. Intellectual Property

  • All content, trademarks, service marks, logos, and other intellectual property displayed on the Services are the property of OaklyCare™ or its licensors.
  • You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use only.

6. Disclaimers and Limitation of Liability

  • No Medical Advice: The information provided through the Services (including AI recommendations and monitoring data) is for informational purposes only and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of a qualified medical professional for any health concerns.
  • Limitation of Liability: To the maximum extent permitted by Nigerian law, OaklyCare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party, including Care Professionals; or (c) unauthorized access, use, or alteration of your transmissions or content.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.

8. Changes to the Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the website/app and updating the "Effective Date." Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
